Overview and Acceptance
By purchasing or using hosting services provided by Voila Web Solutions, you agree to these Terms of Service. These terms describe what clients can expect from Voila Web Solutions as a hosting provider and what is expected of clients in return.
Definitions
“Client” refers to the individual or organization purchasing hosting. “Services” means the hosting, management, and support services provided by Voila Web Solutions. “Account” refers to the hosting account established for the client. “Content” means all data, files, and materials hosted on the server. “Third-Party Services” refers to any outside service used to support hosting, such as DNS, CDN, or email relay.
Account Setup / Email on File
Clients must provide accurate contact and billing information when establishing an account. All notices and communications will be sent to the email address provided. It is the client’s responsibility to keep this information current.
Scope of Services
Hosting includes server space on Voila Web Solutions’s managed environment, standard WordPress stack setup, SSL certificates, caching, daily backups, and ongoing monitoring. Services do not include custom development, content updates, plugin licensing, or marketing work unless agreed to separately.
Content
Clients are responsible for the accuracy, quality, and legality of the content they upload or host. Voila Web Solutions does not review or approve client content but reserves the right to remove content that violates these terms or applicable laws.
Copyright and DMCA
Voila Web Solutions complies with copyright law and the Digital Millennium Copyright Act. If a valid DMCA takedown notice is received, the material in question may be removed or access disabled. Repeat infringers may have their accounts terminated.
Zero Tolerance Spam Policy
Voila Web Solutions maintains a strict zero tolerance policy for spam. Accounts found sending unsolicited email, bulk messages, or other spam-related activity will be suspended or terminated without refund.
Email Services
Email provided with hosting is a value-added feature, not a full enterprise email solution. Mail storage counts against hosting quotas. Clients should use POP3 and configure email clients not to leave a copy of messages on the server. Outbound mail limits apply, and bulk or marketing email must be sent through a third-party email provider.
Security and Client Responsibilities
Voila Web Solutions manages server-level security, patching, and firewalls. Clients are responsible for using strong passwords, maintaining WordPress plugins and themes (unless covered by a maintenance plan), and ensuring their content complies with all applicable laws.
Resource Usage
Hosting accounts share server resources. Fair usage applies to CPU, memory, and disk space. If an account regularly exceeds fair usage, Voila Web Solutions may recommend a plan upgrade or alternative solutions.
Bandwidth Usage
All hosting plans include a defined amount of bandwidth. Excessive or abusive usage may result in throttling, suspension, or the need for an upgraded plan.
Domains, DNS, and SSL
Clients remain the owners of their domain names. If Voila Web Solutions manages DNS, records will be maintained as part of hosting. SSL certificates will be installed and renewed where supported. Clients are responsible for keeping their domains renewed.
Migrations and Professional Services
Migrations are included as part of initial setup. Complex migrations, redesigns, or consulting work fall outside the scope of standard hosting and will be quoted separately.
Backups and Data Loss
Voila Web Solutions maintains regular backups of hosting accounts as a courtesy safeguard. However, these backups are not guaranteed to be complete or available in every circumstance. Clients are ultimately responsible for maintaining their own independent off-site backups of all data. Voila Web Solutions is not liable for data loss or corruption beyond the extent of backup availability.
Service Levels and Maintenance
Voila Web Solutions aims to provide reliable uptime and performance. Maintenance windows may be scheduled when necessary, and reasonable steps will be taken to minimize disruption. Emergency maintenance may occur without notice.
Uptime Guarantee
Voila Web Solutions strives to maintain a high level of availability. If uptime falls below published guarantees, credits may be issued as the sole remedy.
Support
Support is available during business hours via email or phone. Emergency support is available for hosting outages. Voila Web Solutions provides best-effort response times and will prioritize urgent issues first.
WordPress Maintenance Services
WordPress maintenance services are available as an add-on to hosting plans. These services include routine updates, monitoring, and security measures as described on the Voila Web Solutions website. Unless a maintenance plan is purchased, clients are solely responsible for keeping WordPress, themes, and plugins up to date. Voila Web Solutions is not responsible for errors, vulnerabilities, or downtime caused by outdated software unless a maintenance plan is active.
Payment Information
Hosting is billed on a recurring cycle and payment is due in advance of service. Hosting renews automatically unless cancelled prior to the renewal date. Fees for domains, third-party licenses, and prior service are non-refundable.
Billing, Renewals, and Payment Terms
- Invoices will be sent a minimum of 2 weeks before payment is due.
- Web hosting renewals are due on the anniversary date of the account. Accounts not paid by the renewal date will be automatically suspended.
- Suspended accounts (less than 30 days past due) will incur a $25 late fee, which must be paid in addition to the outstanding balance to reinstate service.
- Accounts more than 30 days past due will be terminated. There is a $150 fee to restore a terminated website, plus all past-due balances must be paid in full before service can be reinstated.
- Any payments made by credit or debit card or ACH bank transfer will have a processing fee of 2.9% + $0.30 added to the invoice.
- All past-due and unpaid balances are subject to collection. Clients are responsible for any collection costs, including attorney’s fees, court costs, and collection agency fees.
WordPress Maintenance Plans
In addition to the hosting terms avove, WordPress Maintenance Plans
- Maintenance services will only be performed on accounts that are current on payment. If payment is not received by the due date, maintenance will pause until payment is received.
- Failure to maintain timely payment voids any guarantees associated with the maintenance plan.
Price Changes
Voila Web Solutions may adjust rates for hosting, domain renewals, and other recurring services from time to time. Any changes will take effect at the next billing cycle and will not affect amounts already paid for the current service period. Clients will be provided at least 30 days notice of any rate adjustments. By continuing services after the effective date, the client accepts the updated rates.
Guarantee Conditions
- With an active and paid maintenance plan, Voila Web Solutions guarantees that your WordPress site will remain free from successful hacking attempts.
- If your account is not current, the guarantee does not apply.
- If a site without active maintenance is compromised, additional fees will apply for cleanup and further security hardening.
Late Payment and Suspension
If payment is late, services may be suspended until the account is brought current. A reactivation fee may apply. Continued non-payment may result in account termination and permanent deletion of data.
Cancellations and Refunds
Voila Web Solutions LLC may suspend or terminate accounts for violations of these Terms of Service or for non-payment. When possible, advance notice will be provided, but accounts may be suspended immediately in cases of abuse or security risk.
Clients may cancel hosting by submitting a written request before the next billing cycle.
Payments already made are non-refundable except where required by law.
Setup fees, administrative fees, and charges for additional services are not refundable.
Any refunds offered are limited to the first 45 days of service. After this period, all fees are non-refundable.
Early termination does not release clients from outstanding balances.
Violations of the Terms of Service void any refund eligibility.
Data Retention and Exit
Following termination, data is retained for a limited time. If clients want a copy of their files or databases, a request must be made during this period. After the retention period, all files are permanently deleted from Voila Web Solutions’s servers.
Price Changes
Voila Web Solutions may adjust hosting plan prices from time to time. Clients will be given advance notice of any price changes, and continued use of hosting after the change indicates acceptance.
Third-Party Services
Some features rely on third-party providers such as DNS, CDN, or malware scanning. Voila Web Solutions cannot be held responsible for outages, performance issues, or changes to these third-party services.
Warranties and Disclaimers
Services are provided “as is” and without warranties beyond what is expressly stated. Voila Web Solutions does not guarantee business results such as increased sales, leads, or search rankings.
Limitation of Liability
Voila Web Solutions’s liability is limited to the fees paid by the client for hosting in the twelve months preceding a claim. Voila Web Solutions is not responsible for indirect, incidental, or consequential damages, including lost profits, business, or data.
Indemnification
Clients agree to indemnify and hold Voila Web Solutions harmless from any claims, damages, or expenses arising from the use of hosting, hosted content, or violations of law.
Privacy and Data Protection
Personal information will be handled in accordance with Voila Web Solutions’s Privacy Policy. If Voila Web Solutions processes personal data on behalf of a client, a separate Data Processing Addendum may apply.
Governing Law and Venue
These terms are governed by the laws of the state of Virginia. Any disputes will be resolved in the courts of that state.
Arbitration
Certain disputes may be resolved through binding arbitration rather than court proceedings, in accordance with applicable law.
Notices
Official notices will be sent by email to the address on record. Notices are considered delivered once sent.
Disclosure to Law Enforcement
Voila Web Solutions may disclose information as required by law, including to law enforcement agencies, regulatory authorities, or courts.
Changes to the Terms of Service
Voila Web Solutions may update these Terms of Service from time to time. If significant changes are made, reasonable notice will be provided. Continued use of hosting after updates means acceptance of the new terms.
Entire Agreement
These Terms of Service, along with any service order or statement of work, make up the entire agreement between Voila Web Solutions and the client.
